This Sales Agreement applies to all quotations, sales, orders, invoices, and transactions between Stan Canada (“Seller”) and the Buyer (“Customer”).
By accepting a quotation, issuing a purchase order, or making any payment, the Buyer agrees to all terms stated below.
1. General Terms
Stan Canada follows a policy of continuous improvement and reserves the right to change prices, specifications, or designs without notice.
All used equipment is sold “As Is, Where Is”, unless otherwise stated explicitly in writing.
Buyer is solely responsible for evaluating suitability, accuracy, compatibility, and performance of the machine for their application.
Stan Canada does not guarantee tolerances, productivity rates, or compatibility with materials, tooling, or processes.
2. Design & Specification Changes
Manufacturers may change specifications, configurations, or components without notice.
Stan Canada is not liable for discrepancies between published materials (brochures, websites, third-party listings) and delivered equipment.
3. Delivery Terms
Unless stated otherwise, all prices are FOB Port of Entry – Nisku, Alberta.
Buyer is responsible for:
• inland freight
• insurance
• unloading, rigging, and positioning
• electrical hook-up
• primary leveling and site preparation
• customs, duties, brokerage
• all applicable taxes and permits
Delivery dates are estimates only; Stan Canada is not liable for delays caused by freight carriers, customs, manufacturer backlog, weather, or force majeure.
4. Pricing Adjustments
Prices may be adjusted prior to shipment due to:
• currency exchange fluctuations
• freight cost increases
• manufacturer price changes
• tariffs, duties, import fees
• material or component shortages
• regulatory changes
Buyer will be notified of adjustments before final invoicing.
5. Payment Terms
Standard terms (unless otherwise approved in writing):
• 30% non-refundable deposit with order
• 70% prior to shipment or release
Alternative terms require written approval.
All payments are final and non-refundable.
Failure to pay outstanding balances may result in cancellation without deposit refund.
Chargebacks prohibited:
Buyer agrees not to initiate credit card chargebacks or payment disputes. All disputes must be resolved directly with Stan Canada.
6. Warranty & Limitations
Unless explicitly stated otherwise in writing, all equipment is sold As Is, Where Is, with no warranty, except any manufacturer’s warranty applicable to new machines.
6.1 Warranty Start Date
Warranty begins on the invoice date, regardless of delivery, installation, or first use.
6.2 Warranty Coverage
Warranty covers replacement of defective parts only.
Labour, travel, mileage, accommodations, diagnostics, and freight are not included.
6.3 Exclusions
Warranty does not cover:
• tooling, accessories, workholding
• belts, seals, bearings, filters, fluids, fuses
• relays, contactors, switches, sensors
• cosmetic defects, paint, rust
• improper electrical supply (incorrect voltage, grounding, phase rotation, surges)
• improper installation, rigging, leveling, lubrication, coolant selection
• misuse, overloading, or operating outside manufacturer specifications
• environmental damage (humidity, condensation, cold, heat)
6.4 Warranty Void Conditions
Warranty is void if:
• unauthorized service, repair, or modification is performed
• non-approved technicians are hired
• machine is rewired, altered, or modified
• incorrect electrical supply is used
• equipment is moved or rigged improperly
• maintenance schedules are not followed
6.5 Warranty Claims
Buyer must submit claims in writing within 7 days of discovering the issue and must provide:
• photos/videos
• diagnostic data
• serial number & invoice number
• full description of issue
Stan Canada may require additional evidence before approving any replacement.
6.6 Warranty Disclaimer
ALL IMPLIED WARRANTIES, including MERCHANTABILITY and FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.
Stan Canada is not liable for:
• downtime
• lost production
• lost profits
• delays
• scrap or rework
• incidental or consequential damages
Stan Canada’s liability shall not exceed the purchase price of the machine or component.
7. Accessory & Component Warranties
Motors, controls, DRO systems, hydraulics, electronics, or accessories are covered only by the original manufacturer’s warranty, if applicable.
Buyer may be required to contact the manufacturer directly.
Stan Canada provides no additional warranty beyond manufacturer coverage.
8. Inspection & Acceptance
Buyer may inspect equipment prior to purchase.
If Buyer declines to inspect, Buyer accepts the equipment at their own risk.
Once the machine leaves Stan Canada premises or is loaded onto a truck, it is considered accepted in the condition shown.
9. Freight, Rigging & Damage During Transport
Risk transfers to Buyer once the machine is loaded onto the carrier.
Buyer must inspect freight upon delivery and document any visible damage with photos/video, including the truck and surroundings.
Failure to document damages may void the ability to file a claim with the carrier.
Stan Canada is not responsible for freight damage, delays, or handling issues after departure.
10. Subject to Prior Sale
All machines and quotes are subject to prior sale.
A valid quotation guarantees price only, not availability.
Equipment is not reserved without written confirmation and deposit.
11. Validity
Unless stated otherwise, quotations are valid for 30 days.
Validity refers strictly to price—not availability or delivery dates.
12. Verbal Statements Not Binding
No verbal promises, assurances, or representations are binding.
Only written terms in this Agreement and the attached quotation apply.
13. Buyer Responsibilities
Buyer is responsible for:
• verifying machine suitability
• selecting qualified riggers/movers/electricians
• providing proper electrical supply and grounding
• maintaining lubrication and preventive maintenance
• ensuring compliance with safety codes
• providing correct environment (temperature, humidity, ventilation, anchoring)
14. Changes, Modifications & Cancellations
Orders cannot be modified or canceled without Stan Canada’s written approval.
Deposits are non-refundable.
Custom and non-stock orders are final and cannot be canceled.
15. Force Majeure
Stan Canada is not liable for delays caused by events beyond its control, including:
• manufacturer delays or supply shortages
• freight interruptions
• customs/border delays
• natural disasters
• pandemics
• war, political instability
• labour strikes
• regulatory actions
16. Governing Law
This Agreement is governed by the laws of the Province of Alberta, Canada.
All disputes shall be resolved exclusively in Alberta courts.
17. Entire Agreement
This document, together with the quotation and any written attachments, constitutes the entire agreement between Buyer and Stan Canada.
No external or verbal agreements modify this document unless signed by both parties.
18. Acceptance Clause (Binding Acceptance)
By issuing a purchase order, paying a deposit, making any payment toward this quotation, or accepting delivery of the equipment, the Buyer confirms full agreement with all terms and conditions stated in this Sales Agreement and the full Stan Canada Terms of Sale (2025).
